Article 1: Name
The name of the organization shall be the Milwaukee Indian Education Committee, Incorporated.
Article II: Purpose
The purpose of the Milwaukee Indian Education Committee, Incorporated is to promote, advocate, and support, educational issues and initiatives for the American Indian community in Metro-Milwaukee and surrounding areas.
Article III: Membership
Membership in the Milwaukee Indian Education Committee shall be open to all American Indian organizations or programs in Southeastern Wisconsin area. New member organizations shall be added by majority vote, either at the annual meeting or other times designated by the Committee.
Article IV: Board of Directors
- A. Organization Directors
- a. All member organizations shall select one Director. An alternate may be designated by the organization if desired.
- B. Community Directors
- a. The number of community Directors shall be equal to the number of organization memberships established at the annual meeting.
- b. The board shall fill the vacancies.
- C. Ex-Officio Directors
- a. Shall be elected by the Board of Directors.
- b. Shall act in an advisory capacity only, without voting rights.
- D. The term of office for Directors shall be one year.
Article V: Voting
Each Community and Organization Director seated at the annual meeting or voted upon and officially seated at an approved subsequent meeting shall have one vote.
Article VI: Powers of the Board of Directors
The Board of Directors shall have all the powers necessary to carry out the business of the organization.
Article VII: Officers
- A. Positions of the organization are the Chairperson, Vice Chairperson, Secretary, and Treasurer.
- B. Duties:
The duties of the CHAIRPERSON shall be to preside at all meetings of the organization, act as the official spokesperson and represent the organization at all outside functions. The CHAIRPERSON shall appoint Chairpersons of all special committees and sub-committees.
The duties of the VICE-CHAIRPERSON shall be to preside at all meetings in the absence of the Chairperson and to assume the role of the Chairperson in the event that the Chairperson leaves the organization or resigns her/his position.

The duties of the SECRETARY shall be to keep and record minutes of all meetings, issue notices of all meetings, and keep records of the organization.
The duties of the TREASURER shall be to keep records of the finances of the organization and to report at each month meeting.
Article VIII: Meetings
- A. The Board of Directors shall meet monthly, September through June.
- B. Special meetings may be called by the Chairperson or by petition of any two (2) voting members. Written notice and a written agenda shall be disseminated at least one week before a special meeting. Only items written on the agenda for the special meeting may be addressed, discussed or raised at that special meeting.
- C. A quorum shall be necessary at all meetings to transact official business. A quorum shall consist of a majority of the seated members.
- D. The annual meeting of the organization shall be the regular meeting in the month of September.
- E. Notification of the time, location and agenda of regular meetings shall be sent to members at least one week in advance.
- F. Directors who have three consecutive unexcused absences at regular meetings shall have their membership on the Board of Director’s terminate.
Article IX: Amendments
- A. Proposed Amendments to the By-laws shall be discussed at a regular meeting and voted upon the subsequent regular meeting.
- B. Proposed amendments must receive a two-thirds (2/3) vote of the voting meeting members for ratification.
